Exclusive Representation Agreement

Dear John:

This letter shall serve as an Agreement to appoint Triton Commercial Real Estate, Inc. ("Triton Commercial") as Exclusive Agent for Company.com ("Company") in the procurement of office premises in the City of San Francisco and the San Francisco Bay Area.

Triton Commercial shall use due diligence in identifying such office premises and negotiating the best terms available in the marketplace on behalf of Company. Triton Commercial shall provide Company with accurate market data. Company will conduct all negotiations for the procurement of office premises through Triton Commercial and will inform all other brokers or owners who contact Company of this appointment.

Any compensation to Triton Commercial for services rendered is to be paid to Triton Commercial by a prospective landlord. Unless otherwise provided in writing, Company shall have no obligation to compensate Triton Commercial.

This Agreement will commence upon execution by Company and will terminate ninety days thereafter. Either party may terminate this Agreement for just cause upon fourteen (14) days' prior written notice to the other.
